the stockholders has been obtained, then a notice of the intention to make such amendment shall first be advertised for sixty days, in some newspaper published in the town, city or county in which the principal place of business of said company is located, and the written protest of any one of said stockholders, or his duly authorized agent or attorney, whose assent has not been obtained, filed with the Secretary of the company, shall, unless withdrawn, be effectual to prevent the adoption of such amendment."

Also, have considered Senate Bill No. 89-An Act supplementary to an Act entitled an Act concerning assessments upon the stock of corporations, approved March twenty-sixth, eighteen hundred and sixtysix-report the same back and recommend its passage.

Also, Assembly Bill No. 6-An Act amendatory of and supplementary to an Act to incorporate the Town of Santa Cruz, approved March thirty-first, eighteen hundred and sixty-six-report the same back and recommend its passage.

On motion of Mr. Roberts, Senate took up the resolution reported by the Committee on Contingent Expenses, as follows:

Resolved, That the salary of the Clerk of the Select Committee on Fees and Salaries shall be paid out of the Contingent Fund of the Senate.

Senate Bill No. 10-An Act to amend an Act entitled an Act to regulate proceedings in civil cases in the Courts of justice in this State, passed April twenty-seventh, eighteen hundred and sixty-three.

Taken from the file and recommitted to the Judiciary Committee, with instructions to report a substitute for the same.

Assembly Bill No. 158-An Act in relation to the assessment of property in Tuolumne County for the year A. D. eighteen hundred and sixty

nine.

Amendment of committee adopted.

Bill read a third time and passed, and the Secretary instructed to report the bill back to the Assembly immediately.

On motion, the rules were suspended and Senate took from the table report of Committee on Claims upon Senate Bill No. 42.

The rules were suspended, bill considered engrossed, read a third time and passed.

Mr. Betge had leave to offer the following resolution:

Resolved, That the Sergeant-at-Arms be and he is hereby directed to purchase ten copies of Hittell's Digest for the use of the Senate, to be paid out of the Contingent Fund of the Senate.

Referred to the Committee on Contingent Expenses.

At twelve o'clock and ten minutes P. M., on motion of Mr. Murch, the Senate took a recess until one o'clock.

The hour of one o'clock having arrived, Senate took up consideration of the special order, as follows:

Governor's message transmitting Fifteenth Amendment; also, resolutions introduced by Senator Gwin; also, resolutions introduced by Senator Hager.

On motion, the resolutions introduced by Mr. Gwin were temporarily laid on the table.

On motion, the resolution introduced by Mr. Hager were amended by striking out the word "wherefore," in line nineteen, page one, and insert in lieu thereof the word "therefore."

On motion, the rules were suspended, resolution considered engrossed and read a third time.

REPORT.

Mr. O'Connor, from the Engrossing Committee, made the following report:

Mr. PRESIDENT: The Committee on Engrossment have examined and find correctly engrossed Senate Bill No. 208-An Act to empower the Trustees of Sonoma School District, in Sonoma County, to borrow money and provide for its payment.

On motion of Mr. Farley. the further consideration of the resolution was made the special order for Tuesday next, at one o'clock P. M. On motion of Mr. Conly, at four o'clock and twenty-five minutes, the Senate adjourned.

Mr. PRESIDENT: The Committee on the Judiciary having had under consideration Assembly Bill No. 17-An Act supplementary to an Act to provide for the appointment of Notaries Public and defining their duties -report the same back and recommend its passage.

Mr. Saunders, from the Committee on Corporations, made the following report:

Mr. PRESIDENT: The Committee on Corporations, to whom was referred Senate Bill No. 123-An Act to reincorporate the City of Stockton, and amendatory of an Act entitled an Act to reincorporate the City of Stockton, approved April twenty-first, eighteen hundred and sixty-two-have had the same under consideration and report it back with an amendment, and as amended, recommend that it pass. Amend by striking out all after the word "purposes," in line twentyone, page twelve, section six, and inserting the following: "And it is further provided, that the Insane Asylum of the State of California and all property belonging to the State shall be exempt from taxation by the corporate authorities of said city."

Mr. Hager presented a petition from citizens of the City of San Francisco, protesting against the passage of a bill granting a franchise to the Steam Grading Company, in said city.

MESSAGE FROM THE GOVERNOR.

The following message was received from the Governor :

I hereby nominate Dr. William A. Douglass, Quarantine Officer for the port of San Francisco, vice Gordon, resigned, and respectfully ask

your honorable body to confirm the same; commission to take effect February first, eighteen hundred and seventy.

Rule forty-eight of the standing rules of the Senate was suspended, and Senate went into executive session in order to consider the message of the Governor.

Assembly Bill No 12-An Act' amendatory of and supplementary to an Act to regulate criminal cases, passed May fifteenth, eighteen hundred and fifty-one, and all Acts amendatory thereof.

Also, Assembly Bill No. 65-An Act to amend an Act entitled an Act respecting the Trustees of San Diego, approved April twenty-eighth, eighteen hundred and fifty-two.

Also, Assembly Bill No. 61-An Act to amend an Act concerning crimes and punishments, passed April sixteenth, eighteen hundred and fifty.

And on yesterday passed Assembly Bill No. 82-An Act to amend an Act to authorize the Board of Supervisors of Inyo County to levy a special tax for building purposes, approved January twenty-ninth, eighteen hundred and sixty-eight.

Also, Senate Bill No. 208-An Act to empower the Trustees of Sonoma School District, in Sonoma County, to borrow money, and provide for its payment.

Also, Senate Bill No. 9-An Act authorizing and directing the conversion of certain legal tender notes in the State treasury into gold coin. Also, concurred in Senate amendment to Assembly Bill No. 7-An Act

to provide means for the government of the County of Santa Cruz, and for the payment and funding of the debt of said county.

Mr. PRESIDENT: I am directed to inform your honorable body that the Assembly on Thursday, twentieth instant, passed Assembly Bill No. 102-An Act to create a Bridge Fund in the County of Placer and to authorize a tax therefor.

Also, Assembly Bill No. 163-An Act to repeal an Act entitled an Act. concerning hogs running at large in the Counties of Colusa, Tehama, Butte, Sonoma and Napa, approved March twenty-sixth, eighteen hundred and fifty-seven, so far as said Act applies to the Counties of Colusa and Tebama.

Also, Assembly Bill No. 77-An Act to encourage the destruction of gophers and squirrels in certain counties and to provide for a bounty for

the same.

And on this day passed Assembly Concurrent Resolution No. 22— Relative to visiting certain grounds in the vicinity of Marysville by Committees on State Hospitals.

Also, passed Senate Bill No. 127-An Act to authorize the Assessor of the City and County of San Francisco to appoint deputies.

Also, concurred in Senate amendments to Assembly Bill No. 158—An Act in relation the assessment of property in Tuolumne County in the year eighteen hundred and sixty-nine.
