HENRY DODGE, AN ACT To incorporate the trustees of the Sheboygan Be it enacted by the Council and House of Representatives of the Territory of Wisconsin: SECTION 1. Rankin, David Taylor, and David Giddings, and their associates and successors in office, be and they are hereby created a body politic and corporate, by the name and style of "The Trustees of the Sheboygan Academy," by which name they and their successors shall forever be known and have perpetual succession, and shall have power to contract and be contracted with, sue and be sued, plead and be impleaded, defend and be defended, in all courts and places, in all actions, suits, complaints, and causes whatever; and they shall have a common seal, and may alter the same at pleasure; and General powers of they shall have power, under said corporate name, to acquire, orporation purchase, receive, hold, and enjoy, in deed and in law, to themselves and their successors, property, personal, real and mixed, and the same to sell and convey, rent, or otherwise lawfully dispose of at pleasure, for purposes of education: Provided, that the real estate owned at any time by said corporation shall not exceed ten thousand dollars. Amount and nature of stock. Officers, how elected. SEC. 2. The stock of said corporation shall consist of shares of ten dollars each, which shall be deemed personal property, and shall be transferable on the books of said corporation in such manner as shall be directed by the trustees of the same. SEC. 3. The corporate concerns of said academy shall be managed by five trustees, a majority of whom shall constitute a quorum for the transaction of business; they shall be elected annually on the first Monday of May by the stockholders of said academy, and shall hold their offices for the term of one year, and until their successors are elected. The election of trustees shall be by ballot, and each stockholder shall be entitled to one vote for each and every shate by him owned to the amount of ten shares, and then to one vote for every five shares over and above that number. Any stockholder may vote in person or by proxy. The said trustees shall elect one of their own number to be president, and shall have power to fill all vacancies in their own body. All elections shall be held at the academy building, when the corporation shall have erected one; and until then, elections shall be held at such place as shall be designated by a majority of stockholders, notice of the time and place being given in writing by such stockholders, posted up in three public places in Sheboygan, ten days at least before such election. If any election herein provided for shall not take place on the day appointed herein, such election may be held on any other day: Provided, that at least two or more stockholders shall give notice of the time and place of holding such election, in writing, posted in three public places in the town of Sheboygan, at least ten days before the time of holding such election. SEC. 4. The trustees of said academy shall have power, II. Upon any vacancy in the said office of president or trustees, to elect others in their places, by the votes of a majority of the trustees, present at any regular meeting. III. To take and hold by gift, grant, or devise, any real or personal property, and to sell, mortgage, let, or otherwise dispose of the same, in such manner as they shall deem most conducive to the interests of said corporation. IV. To direct and prescribe the course of study and discipline to be observed in said academy. V. To appoint a treasurer, clerk, and such other officers as they shall deem expedient, who shall hold their offices. during the pleasure of the trustees. VI. To prescribe the duties, and fix the salaries of all the officers of said corporation and to remove or suspend them from office for incapacity, immoral conduct, or misbehavior in office, and to appoint another in the place of any officers so removed or suspended. VII. To make all ordinances and bye-laws necessary and proper to carry into effect the preceding powers, not inconsistent with the constitution of the United States and the laws of Wisconsin. AN ACT To organize certain towns therein named. Be it enacted by the Council and House of Representatives of the Territory of Wisconsin: SECTION 1. That all of township four, north of range eleven east, in the county of Rock, shall constitute a separate town, and shall be known by the name of Porter, and the first election shall be held at the school house in Cooksville. SEC. 2. That township fourteen, north of range fourteen east, in Fond du Lac county, shall constitute a separate town, and shall be known by the name of Alto, and the first town meeting shall be held at the school house near Miller's mill. SEC. 3. That township twelve, north of range twenty-one east, in Washington county, shall constitute a separate town, and shall be known by the name of Fredonia, and the first town meeting shall be held at the house of Hiram King. That township number seven, north of ranges numbered eleven and twelve east, in the county of Dane, shall constitute a separate town by the name of Cottage Grove, and the first town meeting shall be held at the house of Amos Beecher. That township twelve, north of range nineteen east, in Washington county, shall constitute a separate town, and shall be known by the name of North Bend, and the first town meeting shall be held at the house of William P. Barnes. SEC. 6. That the north half of township three, north of range eleven east, be and hereby is attached to and shall form a part of the town of Centre, in the county of Rock. SEC. 7. That township five, north of range nine east, in the county of Dane, shall constitute a separate town, and shall be known by the name of Oregon, and the first town meeting shall be held at the house of L.
